General provisions
These Terms of Service govern the use of services and the website of CodeYLegal.digital. They set out the mutual obligations and procedures applicable to engagements for legal consulting related to the information technology sector. By using our website or engaging our services you acknowledge these terms.
Eligibility and permitted use
Services are available to individuals and legal entities lawfully permitted to enter into contracts under applicable law. Users must provide accurate information and use the website and services in compliance with these terms and applicable laws.
Minors and entities without legal capacity should not enter into agreements with CodeYLegal.digital. If acting on behalf of an organization, you represent you have authority to bind that organization.
You agree not to use our services for unlawful purposes, to transmit illegal materials or to attempt to interfere with the operation or security of CodeYLegal.digital.
Access to services may be restricted where local law prohibits offering legal services or imposes special licensing requirements that CodeYLegal.digital does not meet.
Accounts and access
Access to certain features may require creation of an account. You are responsible for maintaining the confidentiality of account credentials and for all activities arising under your account.
You must provide accurate and up-to-date information when registering and notify us promptly of any changes to maintain proper records for the engagement.
Protect your account credentials and avoid sharing passwords. Notify us immediately if you suspect unauthorized access; we will take reasonable steps to secure the account once notified.
Accounts are personal and non-transferable unless otherwise agreed in writing by CodeYLegal.digital.
If you believe your account has been compromised, contact info@codeylegal.digital immediately with relevant details so we can assess and respond to the incident.
We may suspend access to accounts that violate these terms, are subject to fraudulent activity, or pose a security risk, pending contribute.
Scope of services
CodeYLegal provides legal consulting tailored to the IT sector, including compliance advice, contract drafting and review, intellectual property guidance, licensing analysis, data protection support and dispute avoidance strategies. Specific deliverables are defined in engagement letters.
We may update service offerings, methodologies, or availability. Changes will be communicated to existing clients where they materially affect the engagement.
Service delivery times are estimates and depend on client cooperation, complexity of matters, and resource availability. Timelines will be provided in engagement communications but may be adjusted by mutual agreement.
Client responsibilities and conduct
Clients are expected to cooperate, provide necessary information, and act in good faith throughout an engagement. The following rules apply:
- Provide complete and accurate information relevant to the services requested.
- Respond to reasonable requests from CodeYLegal in a timely manner.
- Refrain from instructing CodeYLegal to act in any way that conflicts with applicable law or professional rules.
- Respect confidentiality obligations and do not disclose privileged communications without prior agreement.
- Comply with payment terms set out in engagement agreements.
- Notify CodeYLegal of any potential conflicts of interest at the earliest opportunity.
- Use deliverables only for the purposes agreed and do not represent them as legal precedent without review.
Client materials and user content
Clients may provide documents, data, code samples or other materials necessary for the provision of legal services. Such materials are handled in accordance with confidentiality and data protection provisions.
Clients retain ownership of their pre-existing intellectual property and materials submitted for review unless otherwise agreed in writing.
By providing materials, you grant CodeYLegal a non-exclusive, necessary license to use and reproduce those materials solely for the purpose of delivering contracted services.
Clients warrant that they have the rights to share materials and that sharing does not infringe third-party rights or violate confidentiality obligations.
If you request removal of client-supplied content, we will cease active use of that content for future work, subject to retention obligations or where necessary to defend legal claims.
Intellectual property
All intellectual property rights in materials produced by CodeYLegal as part of the engagement remain with CodeYLegal unless an assignment is expressly agreed. Clients are granted a licence to use deliverables for internal business purposes as specified in the engagement agreement.
- Do not reproduce or distribute CodeYLegal deliverables beyond agreed use without prior consent.
- Do not remove proprietary notices or attributions from materials provided by CodeYLegal.
- Reverse engineering of legal analyses or proprietary templates is not permitted absent written permission.
Fees and paid services
Fees for paid services are set out in engagement letters or invoices. Fees may be hourly, fixed-fee or a combination depending on the nature of the work.
Quoted fees reflect the scope described in the engagement. Additional work outside the scope may be subject to extra fees, which will be discussed and documented prior to commencement.
Invoices are payable within the period specified on the invoice. Accepted payment methods will be indicated on the invoice or in the engagement documentation.
Where subscription services are offered, subscription terms, renewal procedures and termination rights will be set out in the specific subscription agreement.
Refunds, if any, depend on the nature of the service and the terms of the engagement. Decisions on refunds will follow the engagement agreement and applicable legal and ethical obligations.
Either party may terminate an engagement in accordance with the termination provisions in the engagement agreement. Notice requirements and any applicable cancellation fees will be described in that agreement.
Clients are responsible for any taxes applicable to the fees charged, other than taxes assessed on CodeYLegal’s revenue.
We may adjust fees for future work subject to written notice. Existing engagements will be handled according to the terms agreed at the time of contracting unless otherwise renegotiated.
Non-payment may result in suspension of services, interest on overdue amounts and any reasonable collection costs consistent with applicable law.
Professional disclaimer
Information provided on CodeYLegal.digital or in preliminary consultations is for general guidance and does not constitute a substitute for tailored legal advice based on a full factual review. Specific opinions will be provided in scope of an agreed engagement.
Limitation of liability
To the extent permitted by applicable law, CodeYLegal’s liability for direct damages arising from services is limited to fees paid for the specific engagement. Neither party will be liable for indirect or consequential damages. This limitation is subject to mandatory statutory exceptions.
Third-party services and referrals
CodeYLegal may recommend third-party providers where appropriate. Such referrals do not constitute endorsements and clients contract directly with those providers; CodeYLegal is not liable for third-party performance.
Termination of services
Engagements may be terminated by either party in accordance with the terms of the engagement letter. On termination, outstanding fees, return of client documents and winding-down activities will be handled professionally and with due regard to confidentiality and client interests.
Upon termination, CodeYLegal may retain copies of necessary records as required by law. Clients remain responsible for fees for services provided up to termination and reasonable winding-down costs.
Privacy and data protection
Processing of personal data is governed by our Privacy Policy available at CodeYLegal.digital/privacy. We apply appropriate safeguards to protect client information and comply with relevant Swiss data protection obligations.
Communications and notifications
Notices under these terms should be sent to the contact details provided in the engagement documentation or to the corporate address. Electronic communications are considered effective when sent to a verified address.
Amendments to terms
CodeYLegal may update these Terms of Service. Material changes will be notified to clients and published on the website. Continued use of services after notification constitutes acceptance of changes.
Governing law
These Terms are governed by the substantive laws of Switzerland. Disputes arising under or in connection with these Terms will be governed by Swiss law.
Dispute resolution and jurisdiction
Parties will seek to resolve disputes through good faith negotiations. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of Graubünden, Switzerland, unless the parties agree otherwise in writing.
